What C=3371 means
QuickBooks stores activation and license information in a small system file. When that file is missing, corrupted, or unreadable, the program cannot validate itself and stops with this code. - A damaged or out-of-date entitlement/license file on the workstation.

- Create a new user account in Control Panel, then log off and sign in to it.
- Insert the install disc; click Cancel when the autorun installer appears.
- Open My Computer, explore the disc, and go directly to the setup file in the
QBooksfolder. - Run setup, enter your license and product numbers, and choose to replace the older copy when prompted.
